SenseCore Service Agreement (HongKong)

SenseCore SenseTime Large Device (hereinafter referred to as "this Platform" ) is owned and operated by Shanghai SenseTime Technology Development Co., Ltd. and its affiliates (hereinafter referred to as " SenseTime " or " we " ). The parties to this Agreement are a contractual document signed between SenseTime and the users of this Platform (hereinafter referred to as "users" or "you" ) .

Please be sure to read this Agreement carefully. If you disagree with any of the terms of this Agreement or cannot accurately understand SenseTime's interpretation of the terms, please do not proceed or stop using this platform. If you register as a user of this platform or start using this platform in other ways, it means that you have fully read, recognized and agreed to abide by all the contents of this Agreement. If you use this Service on behalf of other natural persons, legal persons or other organizations, you must have the authority to accept these Terms of Service on their behalf.

The Service objects of this Platform are mainly corporate users and adults. In addition, if you do not have full civil capacity due to reasons such as being a minor, you should obtain the consent of your legal guardian (hereinafter referred to as the " guardian") and carefully read and agree to this Agreement under his supervision and guidance before you can use the Services of this Platform under his guidance. If you do not obtain the consent of your guardian, your guardian may notify us to handle the relevant account through the contact information provided in Article 11 of this Agreement , and we have the right to restrict the functions and use of the relevant account, including but not limited to login, browsing, interactive communication and other functions.

This Agreement includes the following terms and various rules that have been published or may be published in the future on this Platform. All rules published on this Platform are an integral part of this Agreement and have the same legal effect as this Agreement.

If any service agreement has been enacted for the certain service in this Platform in this Agreement, the independent service agreement shall prevail. If there are matters not stipulated in such independent service agreement, this Agreement shall apply.

SenseTime reminds you again to carefully read and fully understand the terms, especially the corresponding terms on limitation or waiver of liability, applicable law and dispute resolution. The limitation or waiver of liability terms may be bolded or otherwise highlighted to remind you. If you have any questions about this Agreement, you may choose to consult us through the contact information provided in Article 11 of this Agreement , or consult with us to make reasonable modifications to the terms of this Agreement and sign a separate agreement.

1. Definition and Interpretation

  1. “SenseCore Large Device Service” refers to the following services provided by this platform to users, referred to as “ this Service ” or “this Platform Service” :

    1. Computing Service Platform: the various basic computing services provided in this Platform, including GPU computing services , CPU computing services, integrated storage services, high-performance network services, etc.

    2. Data Compliance Platform : including the host, network layer, container layer, application layer and data asset layer provided by this Platform.

    3. AI R&D Platform: the AI R&D services provided in this Platform from training to reasoning, meeting the business needs of R&D personnel in all aspects of model production; and

    4. SenseNova Platform: The SenseNova large modeling service provided in this Platform, including large modeling capabilities such as natural language dialogue (dialogue generation, model fine-tuning, knowledge base construction), combined with decision-making intelligence large model. (Note: The large modeling service is based only on existing training data and model algorithms, and we cannot guarantee its authenticity, accuracy and completeness. You should make your own judgment and verification when using the information provided by the large modeling service, and we are not responsible for any direct or indirect losses caused by the use of this information. The information provided by the large modeling service is for reference only and does not constitute legal, medical, financial or other professional advice. When you encounter legal, medical, financial or other professional problems, you should consult relevant professionals for appropriate advice. Due to the restrictions, errors or outdated information you may receive or use during the large modeling service, you may receive restrictions, errors or outdated contents, in which case we do not assume any responsibility thereof. You should bear the risk of using the large modeling service at your own risk and understand that in some cases, the model may not provide accurate answers or meet personal needs. We reserve the right to modify, interrupt or terminate the large modeling service at any time, and may update or improve the model without prior notice.

  2. Shanghai SenseTime Technology Development Co., Ltd.: is a company established in accordance with the laws of the People's Republic of China and registered in China, with its registered address at Building C, 888, Huanhu West 2nd Road, Lingang New Area, China (Shanghai) Pilot Free Trade Zone. If you want to know more about our company and this platform, you can contact us through the contact information provided in Article 11 of this Agreement.

  3. User: refers to a user who logs into the Platform and may use the Service by activating, browsing, uploading data or exporting local files, and is more commonly referred to as "you" in this Agreement.

  4. Affiliate: refers to any party that directly or indirectly controls, is controlled by, or is under common control with SenseTime. “Control” and “controlled by” here refer to the right to direct the management policies of a party through voting rights or other means.

  5. Account: Account refers to the virtual symbol used to identify the user obtained through the registration process of this Platform. The user can set a corresponding password in the registered account. The user is responsible for the safekeeping and use of the user account and password, and is legally responsible for all actions under his or her user account.

  6. Account Information: the information associated with the user's account on the Platform, including the registered name, phone number, authentication information, account balance, and other related details.

2. Service Purchase and Payment Methods

Tip: The purchase model and payment method of services on this platform may change from time to time. Different services provide their own independent metering and billing strategies. For specific details, please refer to the information displayed on the service ordering page and billing document.

  1. Prepaid mode

    1. Definition: The prepaid model refers to a purchase model in which users purchase resources for a certain period and amount according to their needs and pay related fees in advance . The prepaid model includes annual billing (1-5 years) and monthly billing (1-12 months).

    2. Billing Standard

      a) Annual billing: Users can choose to subscribe to resources for up to 5 years and renew on a yearly basis when renewing.

      b) Monthly Billing: Users can choose to subscribe to resources for up to 12 months and renew on a monthly basis when renewing.

      c) If you choose prepaid service, we will start to provide you with services after you place an order and pay the fee. That means, the service period will automatically start from the time you place the order and pay the fee.

    3. Automatic renewal

      a) How to enable: Users can choose to turn the auto-renewal feature on or off.

      b)attempt to deduct the fee at 8:00 every day 7 days before the resource expires, for 7 consecutive days, until the deduction is successful or the automatic renewal is canceled.

      c)Renewal failure: If the transfer fails for 7 consecutive days, the system will no longer attempt to automatically renew.

      d)Renewal turned off: When the product is removed from the shelves, the system will automatically turn off the automatic renewal function.

    4. Manual renewal: Users can manually renew resources in the console.

    5. Cancellation and refund

      a)Refund amount calculation formula: Refund amount = actual payment amount of the order - amount consumed.

      b)The actual payment amount of the order refers to the order amount paid by the user in cash, excluding the portion deducted by vouchers or coupons.

      c)Amount consumed = average daily consumption of the package × number of days used, where average daily consumption of the package = original order price / actual number of days used .

      d)The number of days used refers to the actual number of days consumed from the order start time to the cancellation initiation time, excluding the time spent in the resource release process. If the actual number of days consumed is less than 24 hours, it will be charged as one natural day (one day).

      e)The refund amount will be rounded to 2 decimal places.

    6. Resource expiration

      a)Before a resource expires, users can choose to renew the resource to extend its usage period.

      b)If you do not renew, after the resource expires, it will generally enter a grace period first, and then a retention period. During these period, the user's operation rights to the resource may be limited. If the user renews the resource at this time, the resource will resume normal operation. After the retention period, the resource instance will be forcibly released (Note: the expiration release strategy and deadline settings of different products are different, please refer to the information displayed on the product description page).

      c)If the user does not renew the subscription, the resources will be forcibly released after the retention period ends.

    7. Resource Allocation

      a)Users can scale up/down the resources, or upgrade/downgrade the resources, Recalculation of the fees will happen based on the changed configuration and remaining time.

      b)Scaling: The expanded resources are charged according to the current price; for the reduced resources, the refund is based on the price ordered at the time multiplied by the unconsumed time.

      c)Upgrade or downgrade: When upgrading or downgrading, the final price = unused time new configuration unit price - unused time original configuration unit price; negative number means refund, positive number means charge.

  2. Use-based billing mode (postpaid mode)

    1. Definition: The use-based billing mode is a post-payment mode. Users do not need to pay fees when purchasing resources (i.e. creating instances), but they need to pre-charge a certain amount into their accounts.

    2. Billing standard: The Platform generates flow on a minute-by-minute basis based on actual usage, generates bills on an hourly basis, and automatically deducts relevant fees from the billing account in real time after the bill is generated every hour. The portion of the fee that is less than 0.0001 yuan in each deduction cycle will not be deducted.

    3. Bill objection: If you have any objection to the bill, you should raise it to us within 5 working days after receiving the bill. If you do not raise any objection within the aforementioned period, it will be deemed that you have acknowledged the bill. Both parties will verify the bill you object to and the result confirmed by both parties after the verification will prevail. If you do not have solid evidence to prove that the billing is incorrect, the amount will be based on the bill provided by SenseTime.

    4. Service suspension due to non-payment

      a) When the account balance is insufficient to pay the fee, the resource will stop running and will automatically resume running after recharging.

      b)If the user does not recharge, the resources will enter into a retention period and will be forcibly released after the retention period ends. Some resources can be manually released in advance during the retention period.

      c) At the same time, if you have arrears, SenseTime has the right to charge you a penalty of [0.05%] of the amount you owe every day and send you a reminder. If you do not pay in time within the grace period after the reminder, SenseTime has the right to offset your arrears with the unused funds or equity in your corresponding account or other accounts.

      d) SenseTime reserves the right to suspend the provision of resources and Services if your resource arrears exceed a certain number of days (for specific rules, please refer to the specific product documentation). You will be solely responsible for all consequences of the interruption of Services in this situation, including the possible consequences of data damage and loss.

    5. Unsubscribe: During normal operation of a resource, Ssers can manually unsubscribe from the resource.

    1. Prepaid to postpaid

      a) Some resources support automatic conversion to postpaid use-based billing mode after the prepaid fee expires: users' use of services will give priority to consuming the subscribed resource packages. For some resources, if the services in the resource package are used up or the service period expires, and the user does not continue to subscribe to the resource package service but continues to use this service, SenseTime will regard the user as using the service sold by SenseTime in a postpaid mode (if any).

      b)After the conversion, resources will be charged based on usage, and the fees will be deducted from the user's pre-charged account.

  3. discount

You fully understand that all free service or special offers in SenseTime's pricing system are one-time special discounts provided by SenseTime in addition to normal service prices. Free service or special offers cannot be discounted or offset against Service prices. No refunds will be provided for free service and special offers. If an order containing free service or special offers is refunded, the part of free service or special offers of the order cannot be refunded or discounted. If you fail to pay within the agreed period of the agreement, SenseTime reserves the right to cancel the free service or special offers, which will not be deemed as a breach of contract by SenseTime. No refunds will be provided for expired or cancelled freeservice or special offers. SenseTime has the right to reasonably handle various special offers under this Agreement and the final right of interpretation.

  1. payment method

    1. Contract package payment

      a) Definition: A contract package is a set of pre-paid resources based on the contract signed between the customer and the Platform offline. Currently, the purchase of a contract package is completed through offline remittance and no need to pay online, and we only deducted the number of resources in the contract package.

      b) Method of Use: When purchasing the resources, the user selects the contract package and follow the instructions on the page to complete the purchase in the order page. The purchased resources are automatically deducted from the contract package. If the user needs to renew, scale up or down, or upgrade or downgrade resources, the Platform will meet the request by issuing a supplementary contract package.

      c) Unsubscribe policy: After unsubscribing the resources, the corresponding resource quantity will be returned to the contract package.

    2. Resource package payment

      a)Definition: A resource package is an upgraded form of a contract package, providing a certain amount of resource quotas for purchasing resources.

      b)Method of Use: After the user visit the resource order placing page and selects configuration, the user can select the available resource package for deduction in the cashier. When renewing or adjusting the service mode, the user can directly pay with the appropriate resource package, or the Platform may also modify the duration or quantity of the resource package before user’ s operation.

      c)Unsubscribe policy: After you unsubscribe from a resource, the quota will be returned to the resource package.

  1. Balance Payment

    a)Definition: Customers deposit funds into their billing accounts through pre-charge mode to purchase cloud resources.

    b)Method of Use: When each account is activated, the system will automatically create a default billing account for initial resource purchases. Subsequent billing accounts need to be created by the user. When placing an order, the user selects the designated billing account for payment.

    c) Note: Balance payment cannot be used together with contract packages or resource packages.

  2. Voucher payment

    a)Definition: A cash voucher is a payment tool in a billing account. It carries a certain denomination and is used to offset the cost of purchasing cloud resources.

    b)Method of Use: When placing an order, the system will automatically select the best voucher for deduction, and users cannot choose which account to use for deduction. Vouchers of the same type can be used in combination.

    c)Priority principle for using vouchers: The system deduction order is vouchers > balance > credit limit > arrears limit. At the same time, the system follows the following principles for the use of vouchers: vouchers with a closer validity period are given priority; special vouchers for the corresponding category are given priority over general vouchers; vouchers with greater discounts are given priority; reusable vouchers are given priority over non-reusable vouchers; and stackable vouchers are given priority over non-stackable vouchers . The system will refer to the above principles and automatically select the best voucher for deduction. If the above conditions are the same, the vouchers will be deducted in order from small to large codes .

    d)Note: Voucher cannot be used together with contract packages or resource packages. Voucher cannot be redeemed for cash and no refunds are provided. If an order containing voucher is refunded, the voucher part of the order cannot be refunded or redeemed for cash.

  3. Credit line payment

    a)A temporary payment method when the balance is insufficient.

    b)If the user's account is in arrears, after recharging, the system will automatically pay the arrears first and then the credit limit, that is, the balance after recharging = this recharge limit - arrears limit - credit limit.

    c)How to use: When placing a prepaid order, the order of deduction is voucher > balance > credit limit. If all the credit limits are used up or insufficient, payment will not be allowed. When arrears occur in the postpaid mode, the credit limit can be used to maintain the service, but new orders for purchased products are not supported. When repaying, the system automatically gives priority to making up the arrears and credit limit.

    d)If the credit limit is fully deducted, the account will enter the formal service suspension period due to arrears, and the postpaid resources will enter the retention period.

    e)Note: Credit line cannot be used together with contract package or resource package.

3. Account registration and management

  1. Account Authorization

    1. You confirm that when you register to use the Services of this Platform, you are a natural person, legal person or other organization with full civil rights and capacity. If you do not have full civil capacity due to reasons such as being a minor, you should obtain the consent of your guardian and carefully read and agree to this Agreement under his supervision and guidance before you can use the services of this platform under his guidance. If you do not obtain the consent of your guardian, your guardian may notify us to handle the relevant account through the contact information set out in Article 11 of this Agreement , and we have the right to restrict the functions and use of the relevant account, including but not limited to login, browsing, interactive communication and other functions .

    2. You can register an account on this platform using your mobile phone number, fill in the relevant information as required and confirm your agreement to this Agreement, the "SenseCore Large Device Personal Information Protection Policy" and other related agreements, policies and rules. At the same time, you will also comply with the laws, regulations and rules applicable to your use of the Services.

    3. You shall bear full responsibility for the authenticity, legality and validity of your registration information, and shall update your registration information in a timely manner. You shall not impersonate others or use the Service in the name of others. If the materials or information you submit or provide are inaccurate, untrue, illegal, or SenseTime has reason to suspect that the materials are wrong, untrue or illegal, SenseTime has the right to refuse to provide you with relevant services or you may not be able to use the Platform or some functions may be restricted during use.

    4. You should keep your account and password safe. If any disputes arise from behavior under the user account, the user shall bear full responsibility.

    5. During the use of the services of this platform, all legal consequences and losses caused by the user's failure to change relevant information in a timely manner (such as failure to change contact information in a timely manner and thus being unable to receive our service notifications in a timely manner, etc.) shall be borne by the user.

  2. Account usage

    1. The ownership and related rights of your account on this platform belong to SenseTime. After completing the registration procedures, you only have the right to use the account. You should use and manage the account on this platform correctly and appropriately. Your account is limited to your own use. Without the written consent of SenseTime, it is prohibited to give, borrow, rent, transfer, sell or otherwise allow others to use the account in any form. If SenseTime discovers or has reasonable grounds to believe that the account user is not you, SenseTime has the right to suspend or terminate the provision of services to the account without notifying you, and has the right to cancel the account permissions without assuming any liability to you.

    2. the security and confidentiality of your personal account and bear all legal responsibilities for the activities you conduct in the name of the authorized account. You will be solely responsible for any adverse consequences that may result from improper custody. If your account is used by a third party or any other problems occur, you should notify SenseTime in a timely manner.

    3. Some products and services of this platform have account authorization management functions. You can authorize all or part of your operating permissions for the services to one or more authorized accounts designated by you. In this case, all operations performed under any authorized account will be deemed to be performed by you through your own account, and you will bear the corresponding responsibilities and service fees incurred thereby.

  3. Account freezing

    1. Your user account (all or part of the permissions or functions) may be frozen in the following circumstances, and we will notify you via SMS, email, etc.:

      a)Based on the needs of our operational security, if you have or are likely to damage or attempt to damage this platform or related platforms of our affiliates, or if you use any content containing the name or brand of this platform, our company or our affiliates that is suspected of misleading others, or if you use any Chinese or English (full or abbreviation), number, domain name, etc. to indicate or map a certain relationship with our company or its affiliates;

      b)Violation of this Agreement or the corresponding regulations and guidelines published from time to time on this platform;

      c)Violation of national laws, regulations, policies, and legal documents;

      d)You have been complained by others, and the other party has provided relevant evidence, but you have not provided contrary evidence as required by us;

      e)determine based on reasonable analysis that your account operations and other behaviors are abnormal;

      f)The freezing is required by the competent state organs;

      g)Using the Platform Services to engage in illegal activities; and

      h)We reasonably judge that the same user has other behaviors of the same nature as above or incurs similar risks.

  4. Account cancellation

    1. Your account will be cancelled if any of the following situations occur:

      a)You can choose to cancel the previously authorized account. You can contact us to cancel the account by sending an email to [sensecore_support@sensetime.com ];

      b)When the situation described in Article 3 above occurs and is serious, or when the relevant state authority requires us to do so, we will cancel your account and notify you via SMS, email, or other appropriate means.

    2. If there are still virtual rights and interests (including balances, contract packages, resource packages, vouchers, etc.) under the account, SenseTime has the right to clear the virtual rights and interests when canceling the account. Please withdraw or transfer out the virtual rights and interests in the account before canceling the account; if you initiate the corresponding account cancellation process when there are still unused rights and interests, it will be deemed that you have voluntarily given up the corresponding rights and interests, and the corresponding rights and interests will be invalidated or can no longer be used after you initiate the cancellation process.

    1. After you apply for cancellation, you will not be able to retrieve the customized content, upload records, favorites, and other data or information generated and stored on this platform due to your use of the service. Please export and backup or other operations of the corresponding data and information before submitting the cancellation application. This platform does not bear any responsibility for the loss or damage of data caused by your failure to export or backup in time and apply for cancellation, and has no obligation to assist you in retrieving it.

    2. Once your account is cancelled, it means that you have terminated the service agreement with SenseTime.

      a)You cannot log in to the Platform with the original account again;

      b)Other operations that rely on account permissions cannot be performed;

      c)Unable to retrieve customized content, upload records, favorites, etc. under the account; and

      d)Account cancellation does not mean that all your account behaviors and related responsibilities before the account cancellation are exempted or reduced.

    3. After your account is cancelled, we will:

      a)Under the premise of complying with national laws and regulations, we have the obligation to ensure that all your data under this account cannot be retrieved or accessed in the systems involved in implementing daily business functions;

      b)Account cancellation does not affect our fulfillment of relevant obligations such as confirming the user's true identity before the account is cancelled in accordance with the law under the requirements of regulatory authorities or other legal scenarios.

  5. Account appeal

    1. In the event of the aforementioned account freezing or cancellation, you should pay timely attention to it and may contact us to file a complaint through the contact information provided in Article 11 of this Agreement.

4. User Guidelines

  1. When the service period of the service you purchased expires or is about to be terminated, you should clean up or migrate the business data you uploaded in a timely manner. You should complete the data cleaning or migration within the retention period agreed upon for the corresponding service (if no agreement is reached, the reasonable period specified in the notice sent to you by SenseTime Technology shall prevail). Unless otherwise agreed by laws and regulations or by both parties, SenseTime Technology may delete and no longer retain your business data after the retention period expires.

  2. Users shall guarantee that you will not use this website and /or any content contained therein for any illegal purpose or purpose prohibited by these Terms of Use , will not use this website and/or any content contained therein for any illegal purpose, will not instigate any illegal activities or other activities that infringe the rights of this platform or others, and will not disrupt the normal operation of this platform through network vulnerabilities, malware or other illegal means. Otherwise, SenseTime has the right to take measures such as warnings, rectification within a time limit, restriction of account functions , suspension of use, closure of accounts, prohibition of re-registration, etc. according to the severity of the circumstances , and reserves the right to pursue your liability for compensation . If a crime is constituted, SenseTime has the right to transfer it to the judicial department for handling.

  3. You may not, in any illegal manner or without authorization, access this Platform or any part of it, or receive any services provided through this Platform, or any other systems or networks connected to the Platform's servers.

  4. You fully understand and agree that the content and information provided by this platform and its services or products do not represent the views of SenseTime, and SenseTime does not assume any responsibility for this. At the same time, you should make your own judgment on the content (if any) provided by other users of this Platform, and bear all risks arising from the use of such content, including risks arising from reliance on the correctness, completeness or legality of the content, and SenseTime does not assume any legal responsibility for this.

  5. You promise that you will protect and maintain all business secrets, personal information (personal information also covers personal data under any other applicable laws, the same as below), privacy, and data (" Protected Information ") that you may learn while using this Platform, and use it within the reasonable scope of the Platform Services. You promise to comply with laws and regulations related to Protected Information and shall not use, disclose, abuse, destroy, damage, or perform any other similar improper acts on Protected Information without authorization.

  6. You understand and agree that the signing of this Agreement does not mean that we become your co-actor in uploading, storing, editing, and using data on this Platform. You shall ensure that the information provided or uploaded to this Platform, the use of this Platform, and the materials involved in the use of the Platform Services or the corresponding results generated will not infringe the legitimate rights and interests of any third party, and will not involve any state secrets, commercial secrets, important data or other data that may have an adverse impact on national security or public interests; if a third party files any complaint, claim, lawsuit or other type of appeal against us regarding the information, data provided, uploaded or used by you, or regarding your behavior and work results, you shall immediately come forward to resolve it, and shall bear all responsibilities and compensate for all economic losses suffered by this platform, including but not limited to various expenses, compensation expenses, etc.

  7. You understand and promise that the information content you provide to the artificial intelligence model of this Platform should be the content for which you have intellectual property rights or have obtained legal authorization from the right holder, and such content should not violate applicable laws and regulations, infringe on the legitimate rights and interests of others, or violate the public interest and public order and good customs. Otherwise, all adverse consequences will be borne by the user, and if any loss is caused to SenseTime, the user shall also bear the liability for compensation to SenseTime.

8.You agree that the information you provide to the artificial intelligence model of this Platform will not contain personal information.

  1. You shall actively assume information security obligations when using this platform and shall not use this service to produce, copy, view, disseminate and store the following information:

    1. Information that undermines the fundamental principles established by the Constitution and HongKong “Basic Law”;

    2. Information that endangers national security, leaks state secrets, subverts state power, or undermines national unity;

    3. Information that damages the honor and interests of the country;

    4. Information that promotes terrorism, extremism, or incites the commission of terrorist or extremist activities;

    5. Information that incites ethnic hatred, ethnic discrimination, and undermines national unity;

    6. Rumors, information that disrupts social order and undermines social stability;

    7. Information that is obscene, unlawful, fraudulent, libelous, defamatory, abusive, offensive, pornographic, gambling, violent, murderous, terrorist, or instigates crime, racially or ethnically or otherwise objectionable;

    8. Information that insults or defames others or infringes upon the legitimate rights and interests of others, is invasive of another’s privacy;
